What is a syndication?

A syndication pools capital from multiple investors to acquire and operate a property (or portfolio) under a defined legal structure, typically an LLC, with a sponsor managing execution.

How returns often work (general)

Many private placements describe a waterfall: distributable cash flow is allocated in layers—operating obligations and reserves first, then passive income to investors, then splits on residual cash and sale proceeds after return of capital. Actual terms vary by offering and must be read in the PPM.

  • Read the PPM: fees, risks, and waterfall in full
  • Validate sponsor alignment (co-investment, track record)
  • Understand tenant concentration and lease term
  • Stress test assumptions (vacancy, rates, capex)
  • Consult your tax and legal advisors
